Meet Alex Napoles

Mr. Napoles is an associate at Symons Law Group APC.  He represents technology companies and investors on a variety of corporate and transactional matters, including: 

• Serving as outside corporate counsel to more than 50 venture-backed companies at all stages of the startup lifecycle from formation to Series D and exit, operating within industries ranging from artificial intelligence to healthcare to crypto banking.
• Counseling founders on choice of business entity; formed LLCs, corporations and benefit corporations.
• Advising technology companies on corporate governance and operations, including:
  • Negotiating commercial contracts, including equity agreements, consulting agreements and professional services agreements
  • Executing secondary equity transactions
  • Implementing equity compensation plans and equity grants
• Guiding technology companies through dozens of venture capital fundraising rounds, including SAFE, venture debt, and equity deals, including:
  • Counseling clients on pre-Seed to Series A rounds; managed diligence and drafted and negotiated related contracts and transaction documents
  • Counseling clients on complex and late-stage venture fundraising rounds.
  • Counseling clients on SPAC transactions
• Advised venture capital funds on early-stage investment transactions
• Counseling companies on strategies to prepare for fundraising and exit transactions.

 Mr. Napoles also advises advanced practice providers, including nurse practitioners and physician assistants, on forming and growing their practices.   

Before joining Symons Law Group APC, Mr. Napoles was an associate in the technology companies group at Orrick, Herrington & Sutcliffe.

 Mr. Napoles graduated from the University of California, Berkeley School of Law, where he served as a Senior Supervising Editor of the Berkeley Business Law Journal.
